By placing an order you engage Charterline Filings, Inc. to prepare and submit business documents on your instruction.
We prepare and file formation, compliance and related documents with state agencies and, where applicable, the IRS, based entirely on the information you give us. We act as your appointed registered agent where you have purchased that service. We do not select your entity type, your state or your ownership structure for you.
The accuracy and completeness of everything you provide. Filings are submitted as instructed; if the information is wrong, the filing will be wrong. You are responsible for your own tax obligations, licences, permits and any deadlines that fall outside services you have purchased from us.
State filing fees, expedite fees and franchise taxes are set by government agencies, passed through at cost, and itemised separately. They are non-refundable once submitted. If a fee changes between your order and submission we will notify you before proceeding.
Any timeframe we quote for state processing is the agency's own published or observed estimate, not a guarantee by us. We commit only to our own handling times.
To the maximum extent permitted by law, our aggregate liability arising from any order is limited to the service fees you paid us for that order, excluding government fees. We are not liable for indirect, incidental or consequential losses, including lost profits or business interruption.
You may cancel registered agent service at any time; it remains active until the end of the paid term. You are responsible for appointing a replacement agent, as most states will not allow an entity to have none.
We collect what a filing requires and no more, and we do not sell personal information.
State agencies and the IRS, as necessary to complete the filings you instruct. Our payment processor. Nobody else, unless we are legally compelled or you ask us to. We do not sell or rent personal data, and we do not share it with advertising networks.
Information submitted on a formation document becomes part of a public state record. Which fields are public varies by state. Where a state permits it, we use our own address to keep yours off the record — but we cannot make a public filing private.
You can request a copy of the personal data we hold, ask us to correct it, or ask us to delete data we are not legally required to retain. Records connected to filings are typically retained for seven years. Email hello@charterline.com and we will respond within thirty days.
We use strictly necessary cookies for session handling and basic first-party analytics to see which pages are useful. No third-party advertising trackers.
Simple rule: before we submit, you get everything back. After we submit, the government's share is gone.

States do not refund filing fees once a document has been submitted, regardless of outcome. No provider can change that.

Information about state fees, deadlines and requirements is compiled from state agency sources and reviewed regularly, but rules and fees change frequently and without notice. Verify anything you intend to rely on with the relevant agency, and confirm your specific obligations with a licensed attorney or CPA.
Where we describe another company's pricing or practices, we describe publicly advertised terms as at the date of publication. Those terms change; check them yourself before deciding.
