The basics

What a registered agent is for

It is not a mail forwarding service and it isn't optional. It is the legally designated point of contact between your company and the state — and, if it ever comes to it, the person a process server hands a lawsuit to.

Service of process. If your company is sued, the summons is delivered to your agent. Miss it and a default judgment can be entered against you without you ever seeing the claim.
State correspondence. Annual report notices, franchise tax bills, and good-standing warnings all route through the agent.
A public address. Whoever you name goes into a searchable state database. If that's your home, your home address is public.
Availability. The agent must be physically present at that address during normal business hours — which is why naming yourself falls apart the first time you take a holiday.

We track the deadline in every state you're registered in, including the states with odd cadences — biennial in Alaska, decennial-turned-annual in Pennsylvania, none at all in Ohio.
We'll file it for you for $99 plus the state fee, or hand you a pre-filled form if you'd rather do it yourself.

Foreign qualification

"Foreign" means out-of-state, not out-of-country. If your Delaware or Wyoming company starts doing real business somewhere else, that state wants it registered there too.

When you need it

Rules vary, but the usual triggers are an office or warehouse in the state, employees based there, a state business licence, or regular in-person operations. Simply having customers there generally isn't enough.

What it involves

A certificate of good standing from your home state, an application for authority in the new state, a registered agent with an address there, and that state's annual report from then on.

What we charge

$199 plus the state fee per state, including the certificate of good standing and your first year of agent service in that state.

The cost of skipping it: most states levy back fees and penalties, and several will not let an unregistered foreign entity bring a lawsuit in their courts until it registers — a genuinely painful discovery to make when you're trying to enforce a contract.

Common questions

In most states, yes, if you have a physical street address there and are available during business hours. Two things usually change people's minds: the address becomes public and permanently searchable, and being served with a lawsuit in front of a customer or your family is a genuinely unpleasant way to find out you're being sued.

No. Every state requires a physical street address where a person can be handed documents. PO boxes are rejected outright, and many states now reject known mailbox-service addresses as well.

We scan it immediately, email it to every contact on the account, and send an SMS alert. The original is mailed to you the same day and stored in your document vault. Response windows for a summons are often only twenty or thirty days, so speed here matters more than anything else we do.

You need one in every state where your entity is registered — your formation state, plus every state you've foreign-qualified in. Selling to customers in a state doesn't by itself require registration; having an office, staff or a licence there usually does.

Not as a tactic. The industry norm of a cheap first year followed by a steep renewal is exactly the thing that sends people looking for a new agent, and we'd rather keep you. Our published rate is $125 and it applies at renewal too.
